1. BINDING EFFECT. These Terms Of Use constitutes a legally binding agreement

(“Agreement” or “Terms of Use”). By using the Internet site located at EdSyn.org (“Website” or

“Site”) or any services provided in connection with the Site (the “Service”), you agree to abide

by these Terms of Use, as they may be amended by EdSyn LLC (“EdSyn” or “Company”) from

time to time in its sole discretion. EdSyn will post a notice on the Site any time these Terms of

Use have been changed or otherwise updated. It is your responsibility to review these Terms of

Use periodically, and if at any time you find these Terms of Use unacceptable, you must

immediately leave the Site and cease all use of the Service and the Site. YOU AGREE THAT

BY USING THE SERVICE YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS

OLD AND THAT YOU ARE LEGALLY ABLE TO ENTER INTO THIS AGREEMENT.

 

2. PAYMENTS. You represent and warrant that if you are purchasing something from us, (i)

any credit information you supply is true and complete, (ii) charges incurred by you will be

honored by your bank or credit card company, (iii) you will pay the charges incurred by you at

the posted prices, including any applicable taxes, and (iv) if your initial payment method is

dishonored, you will still pay the incurred charges, including any surcharge we may incur due to

the dishonored payment.

 

3. REFUND AND RETURN POLICY. Full refund will be granted within 30 days of

purchasing if the exam has not been started. Once the examination has been started there will be

no refunds, unless otherwise approved by EdSyn. 

 

4. PRIVACY POLICY. EdSyn respects your privacy and permits you to control the

treatment of your personal information. A complete statement of EdSyn’s current privacy policy

can be found by clicking on the link. EdSyn’s privacy policy is expressly incorporated into this

Agreement by this reference. If you do not accept and agree to be bound by all of the provisions

of this Terms of Use, including the EdSyn.org Privacy Notice, do not use this Website or

EdSyn’s Services. 

b) You acknowledge, consent and agree that the EdSyn may access, preserve and

disclose your account information and the User Content you have posted by Users of the

Services if required to do so by law or in a good faith belief that such access preservation or

 

disclosure is reasonably necessary in the sole opinion of the EdSyn to: (a) comply with legal

process; (b) enforce the Terms of Use; (c) respond to claims that any Content violates the rights

of third parties; (d) respond to your requests for customer service; or (e) protect the rights,

property or personal safety of the Administrators, its Users and the public.

 

a) When you are required to open an account to use or access the Site or Service, you

must complete the registration process by providing the complete and accurate information

requested on the registration form. You will also be asked to provide a user name and password.

You are entirely responsible for maintaining the confidentiality of your password. You may not

use the account, username, or password of someone else at any time. You agree to notify EdSyn

immediately on any unauthorized use of your account, user name, or password. EdSyn shall not

be liable for any loss that you incur as a result of someone else using your password, either with

or without your knowledge. You may be held liable for any losses incurred by EdSyn, its

affiliates, officers, directors, employees, consultants, agents, and representatives due to someone

else’s use of your account or password.

5. PROPRIETARY RIGHTS AND EDSYN’S INTELLECTUAL PROPERTY. EdSyn

owns, solely and exclusively, all rights, title and interest in and to this Site, the technology

underlying the Services, all the content (including, without limitation, any and all audio, video

and instructional materials and other text, information, data, materials, interfaces, computer code,

databases, products, services, software applications and tools, text, images, photographs, audio

and video material, including podcasts and video presentations (whether live or recorded), and

artwork), software, code, EdSyn LLC’s Marks (including without limitation, its trademarks,

service marks, logos, brands, and brand names, trade dress and trade names and other distinctive

identification) and data made available to you in connection with the Site or Services and all

content related to EdSyn programs even if the content is not accessed through the Site

(collectively, “Company Content”), and the design, structure, selection, compilation, assembly,

coordination, expression, functionalities, applications, look and feel, and arrangement of any

content contained in or available through the Site. Your use of the Site or Services does not

grant to you ownership of any Company Content. Company Content is the sole property of

EdSyn LLC, and is protected by law including, but not limited to, copyright, trade secret, patent,

and trademark law, as well as other state, national and international laws, treaties and

regulations. The reproduction, redistribution, transmission, distribution, sale, publication,

broadcast, circulation, use or dissemination of any Company Content by you, or by you through

any other person or entity, is prohibited unless express written consent is separately obtained

from EdSyn. You may not alter, delete, obscure or conceal any copyright or other notices

appearing in the Company Content, including any such notices appearing on any Company

Content you are permitted to download, transmit, display, print, or reproduce from the Site.

 

6. LIMITED LICENSE. You may access and view the Company Content on your computer

or other internet compatible device, and make single copies or prints of the Company Content for

your personal, non-commercial use only. To the extent you need to download software or

documentation to use the Services, we grant you a limited, non-assignable, non-transferable,

revocable license to use such software or documentation solely to utilize the Services. Such

 

license will terminate when you no longer use the Services. For our mobile applications, we

grant you a nonexclusive, non-transferable, worldwide, and perpetual license to perform, display,

and use the mobile application for your personal, non-commercial use only. The Site and the

Services, including any Company Content, are only for your personal, non-commercial use. We

reserve the right to change or make corrections to the operation of, or any information available

on, the Site at any time and without prior notice.

a) LICENSE RESTRICTIONS. Unless otherwise expressly stated in these Terms of Use

or you receive EdSyn’s prior written consent, you may not publish, republish, modify, translate,

create derivative works of, copy, distribute, market, display, compile, remove, or alter any

proprietary notices or labels from, lease, sell, sublicense, clone, transfer, decompile, disassemble,

reverse engineer, or incorporate into any information retrieval system (electronic or mechanical),

the Site, any Company Content as defined herein, or any portion thereof. Further, you may not:

1) use the Site for any unauthorized or illegal purpose or activity including, without limitation,

any activity to obtain or attempt to obtain unauthorized access to the Site, including Company

Content; 2) interfere with the proper working of the Site including, but not limited to, the

transmission of any virus, worm, trap door, back door, timer, clock, Trojan horse, denial of

service attack or other limiting routine, instruction or design; 3) develop a competing website; 4)

or, 3) interfere with any other person’s use and enjoyment of the Site.

 

7. TRADEMARKS. Trademarks, logos, service marks and trade names (collectively,

"Trademarks") that are ours or Trademarks of any third party displayed on the Site or on

Company Content may not be used unless authorized by the trademark owner. All Trademarks

not owned by us that appear on the Site or on or through the Services, if any, are the property of

their respective owners. Nothing contained on the Site should be construed as granting, by

implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the

Site without our written permission or that of the third party rights holder. Your misuse of the

Trademarks displayed on the Site is strictly prohibited.

 

8. USE OF SOFTWARE. EdSyn may make certain software available to you from the Site.

If you download software from the Site, the software, including all files and images contained in

or generated by the software, and accompanying data (collectively, “Software”) are deemed to be

licensed to you by EdSyn, for your personal, noncommercial, home use only. EdSyn does not

transfer either the title or the intellectual property rights to the Software, and EdSyn retains full

and complete title to the Software as well as all intellectual property rights therein. You may not

sell, redistribute, or reproduce the Software, nor may you decompile, reverse-engineer,

disassemble, or otherwise convert the Software to a human-perceivable form. All trademarks

and logos are owned by EdSyn or its licensors and you may not copy or use them in any manner.

9. USER CONTENT. You grant EdSyn a license to use the materials you post to the Site or

Service. By posting, downloading, displaying, performing, transmitting, or otherwise

distributing information or other content (“User Content”) to the Site or Service, you are granting

EdSyn, its affiliates, officers, directors, employees, consultants, agents, and representatives a

license to use User Content in connection with the operation of the Internet business of EdSyn,

 

its affiliates, officers, directors, employees, consultants, agents, and representatives, including

without limitation, a right to copy, distribute, transmit, publicly display, publicly perform,

reproduce, edit, translate, and reformat User Content. You will not be compensated for any User

Content. You agree that EdSyn may publish or otherwise disclose your name in connection with

your User Content. By posting User Content on the Site or Service, you warrant and represent

that you own the rights to the User Content or are otherwise authorized to post, distribute,

display, perform, transmit, or otherwise distribute User Content.

 

10. COMPLIANCE WITH INTELLECTUAL PROPERTY LAWS. When accessing the Site

or using the Service, you agree to obey the law and to respect the intellectual property rights of

others. Your use of the Service and the Site is at all times governed by and subject to laws

regarding copyright ownership and use of intellectual property. You agree not to upload,

download, display, perform, transmit, or otherwise distribute any information or content

(collectively, “Content”) in violation of any third party’s copyrights, trademarks, or other

intellectual property or proprietary rights. You agree to abide by laws regarding copyright

ownership and use of intellectual property, and you shall be solely responsible for any violations

of any relevant laws and for any infringements of third party rights caused by any Content you

provide or transmit, or that is provided or transmitted using your User ID. The burden of

proving that any Content does not violate any laws or third party rights rests solely with you.

 11. INAPPROPRIATE CONTENT. You shall not make the following types of Content

available. You agree not to upload, download, display, perform, transmit, or otherwise distribute

any Content that (a) is libelous, defamatory, obscene, pornographic, abusive, or threatening; (b)

advocates or encourages conduct that could constitute a criminal offense, give rise to civil

liability, or otherwise violate any applicable local, state, national, or foreign law or regulation; or

(c) advertises or otherwise solicits funds or is a solicitation for goods or services. EdSyn

reserves the right to terminate your receipt, transmission, or other distribution of any such

material using the Service, and, if applicable, to delete any such material from its servers. EdSyn

intends to cooperate fully with any law enforcement officials or agencies in the investigation of

any violation of these Terms of Use or of any applicable laws.

 

11. COPYRIGHT INFRINGEMENT. EdSyn has in place certain legally mandated

procedures regarding allegations of copyright infringement occurring on the Site or with the

Service. EdSyn has adopted a policy that provides for the immediate suspension and/or

termination of any Site or Service user who is found to have infringed on the rights of EdSyn or

of a third party, or otherwise violated any intellectual property laws or regulations. EdSyn’s

policy is to investigate any allegations of copyright infringement brought to its attention. If you

have evidence, know, or have a good faith belief that your rights or the rights of a third party

have been violated and you want EdSyn to delete, edit, or disable the material in question, you

must provide EdSyn with all of the following information: (a) a physical or electronic signature

of a person authorized to act on behalf of the owner of the exclusive right that is allegedly

infringed; (b) identification of the copyrighted work claimed to have been infringed, or, if

multiple copyrighted works are covered by a single notification, a representative list of such

works; (c) identification of the material that is claimed to be infringed or to be the subject of

 

infringing activity and that is to be removed or access to which is to be disabled, and information

reasonably sufficient to permit EdSyn to locate the material; (d) information reasonably

sufficient to permit EdSyn to contact you, such as an address, telephone number, and if available,

an electronic mail address at which you may be contacted; (e) a statement that you have a good

faith belief that use of the material in the manner complained of is not authorized by the

copyright owner, its agent, or the law; and (f) a statement that the information in the notification

is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of

an exclusive right that is allegedly infringed. For this notification to be effective, you must

provide it to EdSyn’s designated agent at:

12. ALLEGED VIOLATIONS. EdSyn reserves the right to terminate your use of the Service

and/or the Site. To ensure that EdSyn provides a high quality experience for you and for other

Users of the Site and the Service, you agree that EdSyn or its representatives may access your

account and records on a case-by-case basis to investigate complaints or allegations of abuse,

infringement of third party rights, or other unauthorized uses of the Site or the Service. EdSyn

does not intend to disclose the existence or occurrence of such an investigation unless required

by law, but EdSyn reserves the right to terminate your account or your access to the Site

immediately, with or without notice to you, and without liability to you, if EdSyn believes that

you have violated any of the Terms of Use, furnished EdSyn with false or misleading

information, or interfered with use of the Site or the Service by others.

 

13. NO WARRANTIES AND DISCLAIMER. EDSYN HEREBY DISCLAIMS ALL

WARRANTIES. EDSYN IS MAKING THE SITE AVAILABLE “AS IS” WITHOUT

WARRANTY OF ANY KIND. YOU ASSUME THE RISK OF ANY AND ALL DAMAGE

OR LOSS FROM USE OF, OR INABILITY TO USE, THE SITE, THE SERVICE, COMPANY

CONTENT, YOUR PROVISION OF INFORMATION VIA THE SITE, LOST BUSINESS OR

LOST SALES. NEITHER EDSYN, ITS AFFILIATES, SUBSIDIARIES, EMPLOYEES,

OFFICERS, MEMBERS, OR TRUSTEES, NOR ANY OF ITS AGENTS,

REPRESENTATIVES, SUPPLIERS, ADVERTISERS, CONTRACTORS, PROMOTIONAL

PARTNERS, OR LICENSORS (COLLECTIVELY “EDSYN PARTIES”) PROVIDE ANY

EXPRESS OR IMPLIED REPRESENTATION OR WARRANTY OF ANY KIND,

INCLUDING WITHOUT LIMITATION, ANY REPRESENTATION OR WARRANTY

THAT: 1) THE SITE OR COMPANY CONTENT, OR ANY RESULTS THAT MAY BE

OBTAINED BY YOU, ARE COMPLETE, ACCURATE, RELIABLE OR NON-INFRINGING;

2) ACCESS TO THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR

FREE; 3) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER

MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITES WILL MEET

YOUR EXPECTATIONS; OR, 4) COMPANY CONTENT WILL REMAIN UNCHANGED

OR ACCESSIBLE ON THE SITES. ALL WARRANTIES, EXPRESS OR IMPLIED, ARE

 

DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW INCLUDING,

WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A

PARTICULAR PURPOSE, AND/OR NON-INFRINGEMENT OF INTELLECTUAL

PROPERTY.

 

14. LIMITED LIABILITY. EDSYN’S LIABILITY TO YOU IS LIMITED. TO THE

MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EDSYN BE LIABLE

FOR DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO, SPECIAL,

INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR LOST

DATA, REGARDLESS OF THE FORESEEABILITY OF THOSE DAMAGES) ARISING

OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR ANY OTHER

MATERIALS OR SERVICES PROVIDED TO YOU BY EDSYN. THIS LIMITATION

SHALL APPLY REGARDLESS OF WHETHER THE DAMAGES ARISE OUT OF BREACH

OF CONTRACT, TORT, OR ANY OTHER LEGAL THEORY OR FORM OF ACTION.

(a) IN NO EVENT WILL THE EDSYN PARTIES BE LIABLE FOR OR IN

CONNECTION WITH ANY CONTENT POSTED, TRANSMITTED, EXCHANGED OR

RECEIVED BY OR ON BEHALF OF ANY USER OR OTHER PERSON ON OR THROUGH

THE SITE OR THE SERVICES. IN NO EVENT WILL THE TOTAL AGGREGATE

LIABILITY OF THE PROTECTED ENTITIES TO YOU FOR ALL DAMAGES, LOSSES,

AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT OR OTHERWISE,

INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE) ARISING FROM THESE TERMS

OR YOUR USE OF THE SITE, THE SERVICES, OR COMPANY CONTENT EXCEED, IN

THE AGGREGATE, THE AMOUNT, IF ANY, PAID BY YOU TO US FOR YOUR USE OF

THE SITE OR THE SERVICES DURING THE PREVIOUS MONTH OF YOUR

MEMBERSHIP PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

 

15. AFFILIATED SITES. EdSyn has no control over, and no liability for any third party

websites or materials. EdSyn works with a number of partners and affiliates whose Internet sites

may be linked with the Site. Because neither EdSyn nor the Site has control over the content and

performance of these partner and affiliate sites, EdSyn makes no guarantees about the accuracy,

currency, content, or quality of the information provided by such sites, and EdSyn assumes no

responsibility for unintended, objectionable, inaccurate, misleading, or unlawful content that may

reside on those sites. Similarly, from time to time in connection with your use of the Site, you

may have access to content items, including, but not limited to, websites that are owned by third

parties. You acknowledge and agree that EdSyn makes no guarantees about, and assumes no

responsibility for, the accuracy, currency, content, or quality of this third party content, and that,

unless expressly provided otherwise, these Terms of Use shall govern your use of any and all

third party content.

 

16. PROHIBITED USES. EdSyn imposes certain restrictions on your permissible use of the

Site and the Service. You are prohibited from violating or attempting to violate any security

features of the Site or Service, including, without limitation, (a) accessing content or data not

 

intended for you, or logging onto a server or account that you are not authorized to access; (b)

attempting to probe, scan, or test the vulnerability of the Service, the Site, or any associated

system or network, or to breach security or authentication measures without proper

authorization; (c) interfering or attempting to interfere with service to any user, host, or network,

including, without limitation, by means of submitting a virus to the Site or Service, overloading,

“flooding,” “spamming,” “mail bombing,” or “crashing;” (d) using the Site or Service to send

unsolicited e-mail, including, without limitation, promotions, or advertisements for products or

services; (e) forging any TCP/IP packet header or any part of the header information in any e-

mail or in any posting using the Service; (f) attempting to modify, reverse-engineer, decompile,

disassemble, or otherwise reduce or attempt to reduce to a human-perceivable form any of the

source code used by EdSyn in providing the Site or Service; (g) upload, download, post, email or

transmit, including through any attachments, any information, document, post that is unlawful,

harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive

of another’s privacy (including, without limitation, providing the private contact information,

financial information and/or Social Security number of any third party, hateful, or racially,

ethnically or otherwise objectionable; (h) upload, download, post, email or transmit, including

through any attachments, any information, document, post that you do not have the right to,

including anything that violates state, federal or international law, or infringes on any patent,

trademark, trade secret, copyright, or other proprietary rights of any party; or (i) does anything

that, in the sole judgment of EdSyn is objectionable and/or which may expose EdSyn, our

affiliates, or our Users to any harm or liability of any type. Any violation of system or network

security may subject you to termination of EdSyn’s Services, as well as civil and/or criminal

liability.

 

17. INDEMNITY. You agree to indemnify, defend, and hold harmless EdSyn, its affiliates,

officers, directors, employees, consultants, agents, and representatives from any and all third

party claims, losses, liability, damages, and/or costs (including reasonable attorney’s fees and

costs) arising from your access to or use of the Site, your violation of these Terms of Use, or

your infringement, or infringement by any other user of your account, of any intellectual

property or other right of any person or entity. EdSyn will notify you promptly of any such

claim, loss, liability, or demand, and will provide you with reasonable assistance, at your

expense, in defending any such claim, loss, liability, damage, or cost.

 

18. GOVERNING LAW AND ARBITRATION. These Terms of Use shall be construed in

accordance with and governed by the laws of the United States and the State of California,

without reference to their rules regarding conflicts of law. EdSyn controls and operates the Site

and Services from our offices in the United States of America. EdSyn does not represent that

materials on the Site or Services are appropriate for use in other locations. Persons who choose

to access the Site or Services from other locations do so on their own initiative, and are

responsible for compliance with local laws, if and to the extent local laws are applicable. All

parties to this Agreement hereby waives their respective rights to a trial by jury. The exclusive

means of resolving any dispute or claim arising out of or relating to these Terms (including any

alleged breach thereof) or the Site or Services will be BINDING ARBITRATION. Any dispute,

claim or controversy arising out of or relating to this Agreement or the breach, termination,

 

enforcement, interpretation or validity thereof, including the determination of the scope or

applicability of this Agreement to arbitrate, shall be determined by arbitration before one

arbitrator. The arbitration shall be administered by JAMS pursuant to JAMS' Streamlined

Arbitration Rules and Procedures in either the JAMS Inland Empire or Los Angeles locations.

Judgment on the Award may be entered in any court having jurisdiction. This clause shall not

preclude parties from seeking provisional remedies in aid of arbitration from a court of

appropriate jurisdiction. Should EdSyn employ an attorney to institute arbitration or suit to

enforce any of the provisions of this Agreement, to defend against any suit or other claim

brought by EdSyn, or collect any damages for any breach of this Agreement, EdSyn shall be

entitled to recover all of its attorney’s fees, costs, charges and expenses expended or incurred

therein.

a) The sole exception to the exclusivity of arbitration is that you have the right to bring an

individual claim against us in a small-claims court of competent jurisdiction. But whether you

choose arbitration or small-claims court, you may not under any circumstances commence or

maintain against us any class action, class arbitration, or other representative action or

proceeding. The laws of the State of California shall govern these Terms, as well as any claim

that might arise between you and EdSyn, without regard to any conflict of law provisions.

b) By using the Site or Services, you agree to the above arbitration agreement. In doing

so, YOU GIVE UP YOUR RIGHT TO GO TO COURT to assert or defend any claims between

you and us (except for matters that may be taken to small-claims court). YOU ALSO GIVE UP

YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR OTHER CLASS

PROCEEDING. Your rights will be determined by a NEUTRAL ARBITRATOR, NOT A

JUDGE OR JURY. You are entitled to a fair hearing before the arbitrator. The arbitrator can

grant any relief that a court can, but you should note that arbitration proceedings are usually

simpler and more streamlined than trials and other judicial proceedings. Decisions by the

arbitrator are enforceable in court and may be overturned by a court only for very limited

reasons. To commence an arbitration, you must complete a JAMS Demand for Arbitration Form

and submit the appropriate fees. The form can be located at: https://www.jamsadr.com/submit/.

c) In any arbitration arising out of or related to this Agreement, the arbitrator is not

empowered to award punitive or exemplary damages, except where permitted by statute, and the

parties waive any right to recover any such damages. In any arbitration arising out of or related

to this Agreement, the arbitrator may not award any incidental, indirect or consequential

damages, including damages for lost profits. The parties shall maintain the confidential nature of

the arbitration proceeding and the Award, including the Hearing, except as may be necessary to

prepare for or conduct the arbitration hearing on the merits, or except as may be necessary in

connection with a court application for a preliminary remedy, a judicial challenge to an Award or

its enforcement, or unless otherwise required by law or judicial decision.

d) Any proceeding to enforce this arbitration agreement, including any proceeding to

confirm, modify, or vacate an arbitration award, may be commenced in any court of competent

jurisdiction. In the event that this arbitration agreement is for any reason held to be

unenforceable, any litigation against us (except for small-claims court actions) may be

commenced only in the state court of the County of San Bernardino in the State of California

 

and/or the United States District Court for the Central District of California which shall have

exclusive jurisdiction and venue over (i) any action concerning the enforcement of an arbitration

award, or (ii) if arbitration is not permitted by law, then any Claim you have arising out of or

relating to these Terms of Use. You agree to unconditionally and irrevocably submit to the

exclusive jurisdiction and venue of such courts and you will not object to such jurisdiction and

venue on the grounds of lack of personal jurisdiction, inconvenient forum or otherwise. EACH

PARTY IRREVOCABLY WAIVES ANY AND ALL RIGHT TO TRIAL BY JURY IN ANY

LEGAL PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OF USE.

EdSyn LLC reserves all rights and remedies available to it, in law or equity, with respect to any

matter relating to these Terms of Use.

 

19. SEVERABILITY; WAIVER. This Terms of Use comprise the entire agreement between

you and us concerning the subject matter of these Terms. Edsyn’s failure to exercise or enforce

any right or provision of these Terms will not constitute a waiver of such right or provision.

or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective
